The following agreement (“Agreement”) governs all material owned by The Grove Consultants International (“The Grove”) downloaded from its website (“Content”) by you. Please read this agreement carefully. By downloading the Content, you are agreeing to be bound by these terms:
Upon your payment of the applicable fees, The Grove hereby grants you a nontransferable, nonexclusive license to view, use, and display the Content for certain purposes as permitted by The Grove. You may use the Content solely for your own use, including any consultancy services that you provide to third parties, but you shall not provide the Content or any derivative thereof to any third party.
This Agreement is not a sale of the Content. The Grove retains title and ownership in the Content and all rights therein. You may not sell, rent, lease, distribute, broadcast, sublicense or otherwise assign any rights to the Content or any portion of it to any third party. You may not remove any proprietary notice or label on the Content. In addition, you may not, and you will not encourage, assist or authorize any other person to bypass, modify, defeat, or circumvent security features that protect the Content. You may not modify or create derivative works in whole or in part with the Content. If you desire to sublicense or otherwise commercially exploit the Content, you must obtain a special written license from The Grove for that purpose.
THE GROVE MAKES NO WARRANTIES OR REPRESENTATIONS TO YOU OF ANY KIND, EXPRESSED OR IMPLIED, WITH RESPECT TO THE CONTENT. THE GROVE EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS OF THE CONTENT FOR A PARTICULAR PURPOSE.
The Grove’s obligation to replace any defective Content shall be your sole and exclusive remedy for any and all claims. Under no circumstances shall The Grove be liable for indirect, consequential, special, or exemplary damages. In any event, any liability of The Grove out of or in connection with your use of the Content shall not exceed the amount, if any, paid by you to The Grove for the Content.
You hereby consent to jurisdiction and venue in any state or federal court in San Francisco, California for any dispute arising out of or connected to your use of the Content.
